Introduction
Welcome to WeizChat.
These Terms and Conditions (the "Terms") govern the use of the Company's website and of the WeizChat platform, and form a binding agreement between the Company and you. Please read them carefully before using the Website or opening a WeizChat account.
Accessing or browsing the Website, opening an account on the Platform, or using any service, content or feature offered through either of them constitutes your full acceptance of these Terms. If you do not agree to any provision of these Terms, please refrain from using the Website and the Platform.
For convenience of reading only, these Terms may be drafted in the masculine form, but they apply equally to all genders.
Definitions

"The Website" – the websites weiz.chat and weiz.co.il, including all of their pages, content, services, forms and files.
"The Platform" – the WeizChat software service available at app.weiz.chat: a shared team inbox for business conversations on WhatsApp, an AI assistant, chatbot and automation tools, template-based campaigns, customer management and related features, as updated from time to time.
"The Service" – the Website and the Platform together.
"The Customer" – a business that opens a WeizChat account; "the User" – any person using the Service, including team members acting under a Customer's account.
"Meta" – Meta Platforms, Inc. and its affiliates, the operator of the WhatsApp Business Platform. WhatsApp is a trademark of Meta Platforms, Inc. The Company is an independent software provider and is not affiliated with, endorsed by or sponsored by Meta.
The Platform and Accounts
The Platform is intended for business use. By opening an account you confirm that you are at least 18 years old, act on behalf of a business, and are authorized to bind it to these Terms.
You are responsible for the accuracy of the details you provide, for keeping sign-in credentials confidential, and for the actions of every User you invite to your workspace. You must notify the Company promptly of any suspected unauthorized use of your account.
The Company may modify, improve or add to the Platform's features from time to time. The Company will not materially reduce the service a Customer has paid for during a paid term without a proportionate remedy.
WhatsApp and Meta Requirements
The Platform connects to the WhatsApp Business Platform (Cloud API) operated by Meta. Your WhatsApp Business Account (WABA) and phone number are and remain yours.
Your use of WhatsApp through the Platform is additionally subject to Meta's own terms, including the WhatsApp Business Terms of Service and the WhatsApp Business Messaging Policy, as amended by Meta from time to time. You are solely responsible for complying with them.
Without limiting the foregoing, you acknowledge that:
- Meta may require business verification and supporting documentation before or while granting access to the WhatsApp Business Platform, and approval is at Meta's discretion;
- messages initiated by a business outside the 24-hour customer-service window may be sent only using message templates approved by Meta;
- messaging limits, quality ratings, template approvals and phone-number status are determined by Meta, may change without notice, and are outside the Company's control;
- Meta charges conversation-based fees directly, separately from any WeizChat subscription, and such fees are your sole responsibility;
- a violation of Meta's policies may lead Meta to restrict, suspend or disconnect your number or account, and the Company shall not be liable for any such action by Meta.
The AI Assistant and Automation
The Platform includes an AI assistant and automation tools that can answer customers on your behalf, based on the catalog, business facts and rules that you provide and approve.
You choose the assistant's autonomy level, including a draft-only mode in which a human approves every reply, and a human can take over any conversation at any time. The assistant is designed not to invent prices; where it is not confident, it asks a clarifying question or escalates to your team.
AI-generated content may nevertheless contain inaccuracies. You are responsible for reviewing your configuration, for the commercial content of replies sent on your behalf, and for compliance of automated messaging with applicable law. The AI assistant does not provide legal, financial, medical or other professional advice.
Acceptable Use
The Service may be used solely for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you undertake:
- to message only recipients who have given valid opt-in consent to be contacted, and to honor opt-out requests;
- not to send spam or unlawful, misleading, offensive, defamatory or harmful content, and not to infringe privacy or intellectual-property rights of any person;
- to comply with applicable law, including privacy, data-protection and consumer-protection law, and with the WhatsApp Business Messaging Policy;
- not to introduce viruses or malicious code, attempt unauthorized access, scan, scrape, overload or disrupt the Service, or bypass its security mechanisms;
- not to copy, resell, sublicense, reverse engineer or create derivative works of the Service, and not to use it to build a competing product;
- not to impersonate any person or entity, provide false information, or upload personal information of third parties without lawful authority.
The Company may, at its discretion, limit, suspend or block access of a User or Customer who materially violates this section, applicable law or Meta's policies. Where practical under the circumstances, the Company will give prior warning.
Customer Content and Data
Content that you or your customers submit through your account — messages, contacts, catalog data, files and settings — remains yours. You grant the Company the license required to host and process it solely in order to provide, secure and support the Service.
The Company may use aggregated and de-identified usage data, which does not identify any person or Customer, for operating, securing and improving the Service.
The processing of personal data is governed by the Company's Privacy Policy. Upon termination you may request deletion of your data as described on the data deletion page.
Fees and Payment
Subscription plans and their prices are listed on the pricing page or agreed with the Customer in writing. Unless stated otherwise, fees are billed in advance for the chosen billing period and are exclusive of applicable taxes.
Except where required by applicable law or expressly stated otherwise, fees paid are non-refundable and no credit is given for partial periods. Meta's conversation fees are charged by Meta directly and are not part of the WeizChat subscription.
The Company may update plans and prices from time to time; a price change will take effect at the start of the Customer's next billing period, with prior notice of at least 30 days.
If an amount due is not paid, the Company may, after written notice and a reasonable opportunity to cure, suspend the account until payment is made. Suspension does not waive amounts due.
Intellectual Property
All intellectual property rights in the Service — including software code, design, interfaces, trademarks, trade names, documentation, databases and any other content of the Company — are and remain the exclusive property of the Company or of third parties that have granted the Company the right to use them.
Subject to these Terms, the Company grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right to use the Platform for its internal business purposes during the subscription period. No other right is granted.
Trademarks and content of third parties, including Meta and WhatsApp, are the property of their respective owners, and their appearance in the Service does not indicate any partnership, sponsorship or endorsement.
Your trade names and trademarks remain yours; the Company displays them within your workspace solely in order to provide the Service, and will identify you publicly as a customer only with your consent.
If you provide the Company with feedback or suggestions, the Company may use them to improve the Service without obligation to you.
Third-Party Services
The Service depends on services operated by third parties, including Meta's WhatsApp Business Platform, hosting infrastructure and AI model providers. The Company is not responsible for the availability, acts or omissions of such third parties, and an outage or policy change on their side may affect the Service. Where reasonably possible, the Company will act to reduce the impact on Customers.
Availability, Changes and Support
The Company makes reasonable efforts to keep the Service available, secure and up to date; however, no online service can be guaranteed to be uninterrupted or error-free, and the Service is provided on an "AS IS" and "AS AVAILABLE" basis.
The Company may update, modify, suspend or discontinue the Website or any feature of the Platform, in whole or in part, in accordance with these Terms and applicable law.
Support is provided by email at chat@weiz.co.il and through the contact channels published on the Website, on business days in Israel.
Term and Termination
These Terms apply from your first use of the Service and for as long as you use it.
The Customer may cancel its subscription at any time, effective at the end of the current billing period. The Company may terminate or suspend an account upon a material breach of these Terms that is not cured within a reasonable period after notice, or where termination is required by law or by Meta platform requirements.
Upon termination, access to the Platform ends. For a reasonable period thereafter the Customer may request an export of its data, after which the data will be deleted as described on the data deletion page. Sections concerning intellectual property, fees due, liability and governing law survive termination.
Limitation of Liability
The content of the Website is provided for general information purposes only and does not constitute professional advice, an opinion or a commitment of any kind.
Subject to applicable law, the Company, its employees, directors, shareholders, officers, affiliated companies, suppliers and service providers shall not be liable for any indirect, consequential, special or incidental damage, including loss of profits, revenue, data, reputation or business opportunities, arising from the use of the Service or the inability to use it.
Subject to applicable law, the total aggregate liability of the Company for all claims arising from or relating to the Service or these Terms shall not exceed the amounts actually paid by the Customer to the Company in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Indemnification
You will indemnify the Company against third-party claims, damages and reasonable expenses arising from content you send or upload through the Service, from your messaging activity, or from your breach of these Terms or of applicable law — except to the extent caused by the Company's own breach.
Changes to These Terms
The Company may update these Terms from time to time. The updated version will be published on the Website and will take effect on the date of publication, unless otherwise stated; for a material change affecting paying Customers, the Company will give reasonable advance notice. Continued use of the Service after publication constitutes acceptance of the updated Terms.
General
These Terms and any dispute arising from or relating to them shall be governed exclusively by the laws of the State of Israel, and the competent courts in the Central District of Israel shall have exclusive jurisdiction, unless otherwise required by mandatory applicable law.
If a competent court determines that any provision of these Terms is invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any failure or delay by the Company in exercising a right shall not constitute a waiver of it.
The Customer may not assign its rights or obligations under these Terms without the Company's prior written consent. The Company may assign its rights and obligations, including as part of a restructuring, merger or transfer of business, provided that the User's rights under applicable law are not adversely affected.
These Terms, together with the Privacy Policy and any order or plan agreed in writing, constitute the entire agreement between the Company and the User regarding the Service. The section headings are provided for convenience only.
For any question regarding these Terms, you may contact the Company at chat@weiz.co.il or through the contact details published on the Website.
